MPLX is a large-cap investment grade midstream company with energy infrastructure assets across multiple high growth markets. The Company’s assets include natural gas pipelines, natural gas processing facilities, and refined product infrastructure.

Elda River Investment

Elda River had a long-standing relationship with the MPLX management team and engaged with the company in early 2016 to explore a strategic investment. In April 2016, shortly after closing its $20 billion acquisition of MarkWest Energy Partners, MPLX announced a $1bn convertible preferred equity financing with Elda River and three additional investors. The investment was directly originated by the Elda River team.

Elda River Approach

Elda River’s investment in MPLX provided us with a highly structured investment in one of the best positioned, investment grade midstream companies in the United States. We believed that MPLX’s asset base was particularly well positioned to capitalize on multiple, attractive long-term energy infrastructure trends. Elda River’s convertible preferred equity investment was also fully convertible into MPLX common units while being senior to the entirety of MPLX’s common equity.

Company Benefit

MPLX was able to benefit from the customized, committed nature of the investment. As a result of the investment, MPLX was able to defer the issuance of more dilutive equity, while bringing online multiple large infrastructure projects.

MPLX has continued to pursue both organic and inorganic growth opportunities since the closing of the transaction in 2016. As of September 2023, MPLX has grown to have a market cap in excess of $30 B.
